Terms of Use
These Terms of Use (“Terms”) govern your access to and use of the website, the AI-powered personality assessment, reports, accounts, store, and related services of ProMind Insight, Inc. (“ProMind,” “we,” “us”) (together, the “Services”). Please read them carefully. By accessing or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old to use the Services. If you use the Services on behalf of an organization (such as a counselor, team, employer, or institution), you represent that you are authorized to bind that organization to these Terms, and “you” includes that organization.
2. Accounts
Some features require an account. You agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
3. The Assessment and Reports — Nature and Limitations
The ProMind assessment analyzes a facial image and related inputs to generate personality-intelligence insights. How we handle your image and data — including that the image is used only to generate your results and is then permanently destroyed — is described in our Privacy Policy.

Informational only. The results are informational and are intended to support human judgment. They are not a medical, psychological, or clinical diagnosis, and they are not professional, legal, medical, or employment advice.

Not a sole basis for decisions. You agree not to use the results as the sole basis for any decision that produces legal or similarly significant effects for a person — including hiring, promotion, admission, lending, or similar decisions. Such decisions must involve meaningful human judgment and comply with applicable law.

Accuracy and uncertainty. No personality assessment is perfectly accurate. We present results with appropriate uncertainty, and you should treat them as one input among many.

Authorized recipients. Where an organization is authorized to receive an assessment, results may be provided to that organization as described in the Privacy Policy.
4. Consent to Facial Analysis; Images of Others
You may submit an image only of yourself, or of a person for whom you have obtained all necessary consent and authority (including any consent required by biometric-privacy laws). You must not submit an image of any other person without their informed consent. You are responsible for ensuring you have the right to submit any image you provide, and you agree to the capture-and-destroy processing described in our Privacy Policy.
5. Purchases, Payments, and Refunds
Certain Services, reports, and store products are offered for purchase. Prices, taxes, and any applicable fees are shown at checkout, and payments are processed by our third-party payment processor. You authorize us (through our processor) to charge your selected payment method. Any subscription terms, renewals, and cancellation and refund rights are described at the point of sale and in our Refund Policy. Except as required by law or stated in that policy, purchases are non-refundable once the applicable Service has been delivered.
6. Acceptable Use
You agree not to:

use the Services for any unlawful purpose or in violation of these Terms;

submit an image of another person without their consent, or use the results to unlawfully discriminate against any person;

copy, scrape, reverse engineer, decompile, or attempt to derive the underlying models, algorithms, or source of the Services;

interfere with, disrupt, or attempt to gain unauthorized access to the Services or their security;

resell, sublicense, or commercially exploit the Services or results without our written permission; or
-
upload malicious code or content that is unlawful, infringing, or harmful.
7. Certified Professionals and Institutional Users
Users who are certified through the ProMind Institute, or who use the Services on behalf of an institution, must also comply with their certification, professional, and institutional agreements and applicable ethical standards. Institutional data is handled as described in the Privacy Policy, including under FERPA where applicable.
8. Intellectual Property
The Services, including the ProMind platform, the DBPI and related technologies, the IMPACT 7 framework, software, text, graphics, logos, and other content, are owned by or licensed to ProMind and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. All rights not expressly granted are reserved. You retain rights in content you submit, and you grant us a license to use it as necessary to provide the Services and, where you have consented, to improve them using anonymized data.
9. Third-Party Services and Links
The Services may rely on or link to third parties (for example, payment processors and hosting providers). We are not responsible for third-party services or websites, which are governed by their own terms and privacy policies.
10. Disclaimers
THE SERVICES AND RESULTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that results will meet your expectations.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PROMIND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR ONE HUNDRED DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless ProMind from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Services, your violation of these Terms, or your submission of any image or content you were not authorized to submit.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or to protect the Services or other users. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
14. Governing Law, Arbitration, and Class Action Waiver
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Subject to the arbitration provisions below, the state and federal courts located in Pennsylvania will have jurisdiction, except where applicable consumer-protection law provides otherwise. Nothing in these Terms limits any non-waivable rights you have under the law of your place of residence.
Informal resolution first. Before initiating a formal claim, you agree to try to resolve the dispute informally by contacting us at legal@ProMindInsight.com and allowing at least thirty (30) days to reach a resolution.
Binding individual arbitration. Except for the carve-outs below, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding, individual arbitration administered by the American Arbitration Association] under its applicable consumer arbitration rules, seated in Pennsylvania or conducted remotely. The arbitrator, and not any court, shall decide the dispute, and judgment on the award may be entered in any court of competent jurisdiction.
YOU AND PROMIND AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND PROMIND EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.
Carve-outs and opt-out. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property or to address misuse of the Services. You may opt out of this arbitration and class-waiver provision by notifying us in writing at legal@ProMindInsight.com within thirty (30) days of first accepting these Terms.
15. Changes to These Terms
We may update these Terms from time to time. The current version will be posted here with its effective date, and material changes will be communicated where appropriate. Your continued use of the Services after an update means you accept the revised Terms.
